My vote would go for the second option, because that is less confusing if the amount of models matter. An example of this done right is in the Ork Codex, I will use Boyz as an example:

Boyz

Mob with a min/max of 10/30

Boss Nob (points of an Ork Boy + Upgrade) at 0/1

Upgrades

Boy at 0/30

Upgrades

Boy with special weapon 0/0

Modifier for max-selection
Since the modifier for a special weapon depends on the total number of models, it makes sense to put all of those in a single entry group.

So my opinion: If you have an entry group of models, every entry should actually BE a model and not a mix of models and upgrades because that makes no sense.

I agree. What are your thoughts for SM-like Sargeant?

It's a case like that: A unit consists of 1 sergeant and 4-9 privates. A sergeant has an option to upgrade to a better veteran sargeant.

How do we model that?

Group entry with default to original sgt then an choose vet sgt or other character such as vet sgt Haas which would need chapter tactics limits

Heavy Weapon with a min/max-modifier that looks to the amount of selections in 'Entry Group Marines'

That last line brings me to another question from BSData/wh40k-9e#261 which is kind of related:
How do you prefer to do upgrades, on model or on unit-level?
